Terms / Service Scope Agreement for YouTube Channel Promotion & Management Services
This Terms / Service Scope Agreement applies to the YouTube Channel Promotion & Management services offered by Hemant Kumar Sharma under the service levels referred to as Starter Support, Growth Support, and Premium Support.
By making payment, approving the proposal, or otherwise confirming the service, the client acknowledges that they have read, understood, and agreed to the terms stated below.
1. Nature of Service
These services are professional support services intended to help improve the structure, consistency, direction, optimisation, and overall handling of a YouTube channel.
Depending on the selected service level and agreed scope, the service may include channel review, setup or restructuring guidance, content direction support, publishing and optimisation support, workflow guidance, packaging direction, performance review, and strategic monthly support.
2. Service Levels
Starter Support
A lighter monthly support option suitable for early-stage channels or those needing basic structure and support.
Growth Support
A stronger monthly support option suitable for active channels needing better optimisation, stronger content direction, improved workflow, and more active handling.
Premium Support
A broader support option suitable for serious creators, experts, brands, and businesses requiring deeper involvement, wider continuity, and stronger monthly agency-style support.

Unless specifically mentioned in writing, the service does not automatically include:
4. Client Responsibility
The client shall be responsible for providing all required inputs, approvals, access, materials, brand information, communication clarity, and turnaround support necessary for the service to function properly.
Delay in providing required inputs may delay execution, publishing, optimisation, or monthly workflow. The service provider shall not be held responsible for delays caused by missing inputs, slow approvals, inaccessible accounts, or incomplete information from the client side.
5. Content, Video and Asset Responsibility
Where the client is expected to provide raw content, videos, scripts, visuals, voice material, product information, or approval notes, the client remains responsible for authenticity of content, ownership or right to use the material, factual claims made within the content, legal or regulatory compliance of submitted material, and copyright or third-party permissions. The service provider shall not be liable for disputes arising from content, footage, claims, statements, promises, or media supplied by the client.
6. Platform Dependency
YouTube is a third-party platform. Channel performance, visibility, reach, recommendations, monetisation, audience behaviour, algorithm changes, policy actions, account restrictions, or other platform outcomes remain outside the direct control of the service provider.
7. No Performance Guarantee
The client understands and agrees that growth may vary by niche, content quality, consistency, audience demand, packaging, competition, timing, and other external factors. Professional support may improve structure, clarity, execution and long-term direction, but does not guarantee a specific business or audience outcome.
8. Package Duration and Continuity
Each support level is intended to be engaged with a reasonable continuity period.
Growth Support: 3 to 6 months recommended minimum
Premium Support: 6 months or more recommended minimum
9. Fees and Payments
All fees are payable in advance unless otherwise agreed in writing. GST, where applicable, shall be extra unless clearly mentioned as inclusive. Ad spend, third-party tools, external production costs, and add-on services are separate unless specifically stated otherwise. Service activation begins only after payment and required onboarding readiness.
10. Refund Policy
Payments made for agency packages are generally non-refundable, especially where planning has begun, scope has been blocked, channel review has started, team time has been allocated, or assets and workflows have already been initiated. No refund shall be due merely because the client changed their mind, delayed inputs, had unrealistic expectations, or did not use the service fully.
11. Revision and Change Requests
The service includes only those changes, refinements and adjustments that fall reasonably within the originally agreed support scope. Repeated direction changes, major restructuring requests, new deliverables, or expanded expectations shall not be assumed as included and may be quoted separately.
12. Communication and Review
Communication may take place through agreed channels such as email, WhatsApp, shared documents, or scheduled calls. The client is expected to maintain professional and reasonably timely communication. Excessive, undefined, repetitive, or unstructured communication expectations are not included unless specifically agreed.
13. Service Start and Delays
The service start date depends on successful payment, account access readiness, required details being submitted, approvals being received, and any support-specific preparation being completed. Where the client delays access, approvals, assets or communication, the service timeline may shift accordingly.
14. Pauses and Inactivity
If the client becomes unresponsive, delays approvals excessively, or informally pauses the work, the agreed service period may continue to count unless otherwise approved in writing. Informal silence shall not automatically extend the package duration.
15. Add-On Services
Add-ons may be offered separately where relevant. These may include YouTube Ads support, thumbnail design, editing support, deeper content research, script assistance, Shorts direction, training or mentoring, team sessions, competitor review, or advanced packaging support. Add-ons are chargeable separately unless clearly included.
16. Intellectual Property and Usage
The client retains rights to their own original content, brand assets and business information provided by them. Any frameworks, methods, strategic notes, workflows, internal thinking models, support material, or service documents created by the service provider remain the intellectual property of the service provider unless explicitly transferred in writing.
17. Confidentiality
Both parties shall treat confidential business information shared during the engagement with reasonable discretion. Sensitive information such as passwords, internal documents, pricing models, unpublished strategies, or private business data shall not be disclosed casually.
18. Client Conduct and Fair Usage
The client is expected to engage respectfully and professionally. Abusive language, intimidation, unethical requests, manipulative conduct, repeated scope distortion, or unreasonable pressure may result in service suspension or termination without refund.
19. Right to Refuse or Terminate
The service provider reserves the right to refuse, pause, or terminate the engagement where the client expects policy-violating action, withholds necessary information, behaves unprofessionally, repeatedly changes direction beyond agreed scope, defaults on payment, or makes the engagement commercially or professionally unviable.
20. Advisory Interpretation
Any suggestion, recommendation, review, optimisation advice, content opinion, channel observation, or strategic guidance shared during the service should be understood as professional advisory input based on available information and experience. Final publishing, compliance and business decisions remain the responsibility of the client.
21. Acceptance of Terms
By making payment, approving the proposal, responding in written acceptance, or proceeding with onboarding, the client confirms that they have read these terms, understand the scope nature, understand exclusions, understand that no guaranteed result is being promised, and accept the commercial structure and responsibilities stated herein.
Important Note: By making payment for YouTube Channel Promotion Agency Services Packages | Starter Support, Growth Support, or Premium Support, the client acknowledges acceptance of this Terms / Service Scope Agreement.
